These Terms govern access to and use of the CORA platform (portal.coraabl.com), coraabl.com and related services (the "Services") provided by Collateral Oversight and Risk Analytics Inc. ("CORA", "we", "us").
If your organization has signed a Master Services Agreement or order form with CORA, that agreement governs and prevails over these Terms where they conflict. By using the Services, you agree to these Terms on behalf of yourself and the organization you represent.
1. Accounts
Accounts are issued by CORA or by a Customer administrator. You must keep your credentials and multi-factor authentication device secure, must not share your account, and must tell us promptly at security@coraabl.com if you suspect unauthorized access. You are responsible for activity under your account.
2. Customer Data
As between you and CORA, the Customer owns all data it or its users submit to the Services ("Customer Data"). You grant CORA a limited license to host, process, analyze and display Customer Data only to provide and secure the Services, to meet legal obligations, and as otherwise instructed by the Customer. We handle Customer Data as described in our Privacy Policy and your agreement with us. You are responsible for having the rights and consents needed to submit Customer Data, including borrower information.
3. Acceptable Use
You will not:
- use the Services unlawfully or to violate anyone's rights
- attempt to access accounts, tenants or data you are not authorized to access
- probe, scan or test the security of the Services without our written permission
- introduce malware or interfere with the Services' operation
- reverse engineer the Services, except where the law allows despite this limit
- use the Services to build a competing product
- resell or sublicense the Services unless your agreement allows it
We may suspend access that threatens the security or integrity of the Services, and we will tell you when we do.
4. AI-Assisted Features
Some features use AI models to extract, classify or analyze information. AI output may be incomplete or inaccurate. It is provided to support your review, not replace it. CORA does not provide credit, investment, legal or financial advice. You remain responsible for your lending and credit decisions.
5. Intellectual Property
CORA and its licensors own the Services, including software, models, designs and documentation. Except for the rights expressly granted, no rights are transferred. If you send us feedback, we may use it without obligation to you.
6. Confidentiality
Each party will protect the other's non-public information with at least reasonable care and use it only to perform under these Terms or the parties' agreement.
7. Fees
Fees, billing and renewal terms are set out in your order form or agreement.
8. Availability and Support
We aim to keep the Services available. Support is available at info@coraabl.com. Any service-level commitments are in your agreement.
9. Term and Termination
These Terms apply while you use the Services. Either party may end them as provided in your agreement. We may suspend or end access for material breach. After termination, Customer Data is handled as described in your agreement and our Privacy Policy.
10. Disclaimers
Except as expressly stated in your agreement, the Services are provided on an "as is" and "as available" basis. CORA makes no representations or warranties of any kind, express or implied, about the operation of the Services or the information, content or materials in them, and your use of the Services is at your own risk. Without limiting the foregoing, CORA does not warrant that the Services will be accurate, reliable, error-free or uninterrupted, that defects will be corrected, or that the Services or the servers that make them available are free of viruses or other harmful components. CORA disclaims all warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose and non-infringement. This does not affect any warranty that cannot be excluded or limited under applicable law.
11. Limitation of Liability
Except where the law does not allow it, CORA and its officers, directors, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue, however arising and whether in contract, negligence or otherwise, arising out of or in connection with these Terms or the Services, even if CORA has been advised of the possibility of such damages. If liability is found on the part of CORA, it will be limited to the fees paid by the Customer for the Services in the twelve months before the claim. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the limitations above may not apply to you.
12. Indemnity
You will hold CORA and its officers, directors, employees and agents harmless from any claim, loss or expense, including reasonable attorneys' fees, arising from your use of the Services in breach of these Terms or in violation of law, or from Customer Data you submit. Where your organization has an agreement with CORA, the indemnities in that agreement govern instead of this section.
13. Governing Law
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-law rules. The state and federal courts located in Massachusetts have exclusive jurisdiction. If any provision of these Terms is held invalid or unenforceable, the remaining provisions stay in effect, and CORA's failure to enforce a provision is not a waiver of it.
14. Changes
We may update these Terms. We will post the new version here and, for material changes, notify Customers in advance.
